Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “User”) and Global Tariff Rates Ltd (“we”, “us”, “our”, or “Company”), a company registered in England and Wales with its registered office in London, UK. By accessing or using our trade compliance platform and related services (the “Service”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to “you” shall include that organisation.

2. Description of Service

Global Tariff Rates provides a trade compliance intelligence platform that includes AI-powered Harmonised System (HS) code classification, real-time tariff monitoring, expert review workflows, risk assessment tools, and audit-ready evidence pack generation. The Service is designed to assist businesses in managing their trade compliance obligations across multiple jurisdictions, including the United States, European Union, and United Kingdom tariff schedules.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account, whether or not authorised by you.
  • Notifying us immediately of any unauthorised use of your account.
  • Ensuring that all users within your organisation comply with these Terms.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Subscription Plans & Billing

The Service is offered through various subscription plans (Starter, Growth, Professional, and Enterprise), each with different feature sets and SKU limits as described on our pricing page.

  • Free trial: new accounts receive a 14-day free trial with full access to the selected plan. No payment information is required during the trial period.
  • Billing cycle: subscriptions are billed annually in advance. All fees are quoted in British Pounds Sterling (GBP) unless otherwise stated.
  • Payment: payments are processed securely through Stripe. You authorise us to charge your designated payment method for all applicable fees.
  • Plan changes: you may upgrade your plan at any time, with the new rate applied immediately on a pro-rata basis. Downgrades take effect at the end of the current billing period.
  • Refunds: subscription fees are non-refundable except where required by applicable law or at our sole discretion.
  • Overages: if you exceed your plan's SKU limit, we will notify you and may restrict additional classifications until you upgrade your plan.

5. User Responsibilities

You agree to use the Service in compliance with all applicable laws and regulations. You shall not:

  • Use the Service for any unlawful purpose or in violation of trade sanctions, export controls, or other regulatory requirements.
  • Upload or transmit malicious code, viruses, or any material that could damage or interfere with the Service.
  • Attempt to gain unauthorised access to any part of the Service, other accounts, or related systems.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Use automated means (bots, scrapers) to access the Service beyond the scope of authorised API usage.

6. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, models, user interface designs, documentation, and branding, are owned by or licensed to Global Tariff Rates Ltd. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licence to use it in accordance with these Terms.

You retain ownership of all data you upload to the Service (“Your Data”). By uploading Your Data, you grant us a limited, non-exclusive licence to process, store, and analyse it solely for the purpose of providing and improving the Service. Anonymised and aggregated data derived from Your Data may be used for model training and benchmarking purposes, unless you opt out via your account settings.

7. Data & Privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy. We implement industry-standard security measures to protect your data, as detailed in our Security page.

8. Classification Accuracy Disclaimer

Important: AI classifications are advisory only.

The HS code classifications, tariff assessments, duty calculations, risk scores, and other outputs generated by the Service (“Classification Outputs”) are produced using artificial intelligence models and are provided for informational and advisory purposes only. Classification Outputs do not constitute legal advice, customs rulings, or binding tariff information.

While we strive for accuracy and continuously improve our models, AI-generated classifications may contain errors, omissions, or inaccuracies. Tariff schedules, trade policies, and regulatory requirements change frequently, and there may be delays between regulatory changes and updates to our system.

You are solely responsible for:

  • Verifying all Classification Outputs before relying on them for customs declarations, duty payments, or other compliance-related decisions.
  • Seeking independent professional advice from qualified customs brokers, trade compliance consultants, or legal counsel as appropriate.
  • Ensuring compliance with all applicable customs laws, trade regulations, and import/export requirements in your jurisdictions.
  • Maintaining your own records and audit trails as required by applicable regulations.

Global Tariff Rates shall not be liable for any losses, penalties, duties, fines, or other damages arising from reliance on Classification Outputs without independent verification.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any defects will be corrected.
  • In no event shall Global Tariff Rates, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

10. Termination

Either party may terminate this agreement as follows:

  • By you: you may cancel your subscription and close your account at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • By us: we may suspend or terminate your access to the Service immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We may also terminate with 30 days' written notice for any reason.

Upon termination, your right to use the Service ceases immediately. You may export Your Data for up to 30 days following termination, after which it will be deleted in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) shall continue in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Subject to the dispute resolution provisions below, the courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

12. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, the parties agree to the following process:

  • Informal resolution: the parties shall first attempt to resolve the dispute informally through good-faith negotiation for a period of at least 30 days.
  • Mediation: if informal resolution fails, the parties agree to submit the dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London before commencing litigation.
  • Litigation: if mediation does not resolve the dispute within 60 days, either party may commence proceedings in the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. For significant changes, we will provide at least 30 days' advance notice via email or an in-app notification. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.
